Merger plan

In connection with the intention to merge the company under the name of SPIE LTEC Technologie sp. z o.o., with its registered office in Piaseczno (address: ul. Puławska 44D, 05-500 Piaseczno), entered into the Register of Entrepreneurs of the National Court Register, kept by the District Court for the city of Warsaw, XIV Commercial Division of the National Court Register, with the company under the name of SPIE LTEC Technologie sp. z o.o., with its registered office in Piaseczno (address: ul.st. of Warsaw in Warsaw, XIV Economic Division of the National Court Register, under KRS number 0000941268, holding NIP number 1231427271 and REGON number 382634622, ("Acquiring Company") with a company under the name of SPIE LTEC sp. z o.o. with its registered seat in Piaseczno (address: ul. Puławska 44D, 05-500 Piaseczno), entered in the register of entrepreneurs of the National Court Register, kept by the District Court for the Capital City of Warsaw in Warsaw, XIV Commercial Division of the National Court Register, under KRS no. 0000403472, holding tax identification number (NIP) 9512352089 and statistical number REGON 145865555 ("Target Company"), the Management Board of the Acquiring Company and the Management Board of the Target Company, acting pursuant to art. 498 of the Act of 15 September 2000. Code of Commercial Companies (Journal of Laws 2024, item 18, as amended) (the "CCC"), on 30 October 2025 agreed on a plan of merger (the "Plan of Merger") of the Target Company and the Target Company.

In view of the above, the Management Board of the Acquiring Company, pursuant to Articles 500 § 2 and 21 of the CCC, hereby makes the Plan of Merger available to the public.

The Management Board of the Merging Company announces that pursuant to Article 500 § 2 and 2(1) of the CCC, the Plan of Merger shall be made available free of charge and continuously at least one month prior to the date of the Meeting of Shareholders of the Merging Company at which the resolution on the merger is to be adopted.
